ARP S.A., Polimex Mostostal S.A. and TF Silesia Sp. z o.o. jointly strengthen Racibórz industry

Rafako

On 29 April 2025, a company in which the shares are held by: Agencja Rozwoju Przemysłu S.A. (ARP S.A.), Polimex Mostostal S.A. and Towarzystwo Finansowe "Silesia sp. z o.o." – has decided to enter into a binding agreement on the lease of Rafako S.A.'s assets. This strategic agreement provides a developmental boost for the entire Racibórz region, strengthening the local supply chain, cooperators and entrepreneurs associated with Rafako S.A.'s operations.

The investors had previously obtained approval from the Office of Competition and Consumer Protection (OCCP) for the merger, which involves the creation of a joint venture. ARP S.A. sold 2/3 of the shares of its company ARP Doradztwo sp. z o.o. to its partners: Polimex Mostostal S.A. and Towarzystwo Finansowe Silesia sp. z o.o. (1/3 share each). Subsequently, the company, following a capital increase of PLN 27m and a name change to RFK sp. z o.o., will take over Rafako S.A.'s key assets upon approval of the merger, creating new opportunities for the local business. RFK's operations in the rail and arms sectors will not only secure jobs, but also activate regional suppliers and service providers, helping to strengthen the competitiveness of Silesian industry as a whole.

- Today's agreement is, first and foremost, an opportunity for the development of Racibórz industry and local entrepreneurship. Through the new entity, RFK Sp. z o.o., together with our partners Polimex Mostostal S.A. and Towarzystwo Finansowe Silesia Sp. z o.o. – we are creating the conditions to rebuild and modernise the local economic ecosystem. As a leader in partnership between the public and private sector in Poland, ARP S.A. particularly appreciates the involvement of both companies in creating solutions that translate not only into support for Rafako S.A., but above all into strengthening the region's position as a centre of industrial competence. I would like to thank the Management Boards of both companies for their effective cooperation, which has made it possible to develop a business model that guarantees long-term benefits for Racibórz companies and employees. I believe that the RFK will become a catalyst for development, opening up new opportunities for local entrepreneurs and confirming the importance of Silesia for Polish industry, said ARP S.A. CEO Wojciech Balczun.

- We welcome with interest the opportunity to participate in this strategic project, which opens up prospects for growth in the rail and defence sectors. We believe that our experience and commitment will make an important contribution to the effective realisation of the potential of the new Company. – commented the President of the Management Board of Polimex Mostostal S.A., Jakub Stypuła.

Further activities will be carried out in close cooperation with the supervisory authorities, in full transparency and in compliance with the applicable laws.
